Terms of Service

1. Acceptance of Terms

By creating an account or using the Ark Vision platform at arkvision.arksolutionsglobal.com (the "Services"), you agree to these Terms, our Privacy Policy, and any additional terms applicable to specific features. If you are using Ark Vision on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" and "your" shall refer to that organization.

2. Description of Service

Ark Vision is a proprietary agentic AI platform that provides intelligent business automation services, including but not limited to:

• Specialized AI business agents across multiple departments
• Workflow automation with configurable approval gates
• Knowledge base management and intelligent document retrieval
• Multi-channel communication capabilities
• Publishing and integration services with third-party platforms
• Document generation and processing
• Analytics and reporting

The Services utilize proprietary AI technology and third-party machine learning services. The specific technologies, models, architectures, configurations, and methodologies used to deliver the Services constitute confidential and proprietary trade secrets of the Company and are not disclosed to users.

3. Account Registration

• You must provide accurate, complete information when creating an account
• You are responsible for maintaining the confidentiality and security of your account credentials and for all activities that occur under your account
• You must notify us immediately of any unauthorized access to your account
• One organization account per entity; multiple users may be added under one organization
• You must be at least 18 years old to use Ark Vision
• We reserve the right to refuse registration, suspend, or terminate any account at our sole discretion

4. Subscription and Billing

• Plans: Ark Vision offers multiple subscription tiers with different feature sets and usage limits as described on the platform.
• Billing: Subscriptions are billed in advance on a weekly, monthly, or yearly basis. All fees are non-refundable except as expressly stated herein or as required by applicable law.
• Free Trial: New accounts may receive a trial period. At the end of the trial, you must subscribe to continue using the platform. No refunds are issued for trial periods.
• Cancellation: You may cancel your subscription at any time from the Billing page. Access continues until the end of the current billing period. No pro-rated refunds are provided for early cancellation.
• Price Changes: We may change pricing with 30 days' notice. Existing subscriptions honor their current rate until the next renewal cycle.
• Overdue Payments: Failure to pay may result in suspension or termination of your account. We reserve the right to charge interest on overdue amounts at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less.

5. Acceptable Use

You agree NOT to use Ark Vision to:

• Violate any applicable local, national, or international law, regulation, or third-party rights
• Send spam, unsolicited messages, or bulk communications without recipient consent
• Attempt to extract, reverse-engineer, decompile, disassemble, or otherwise derive the source code, underlying algorithms, models, data structures, or internal configurations of the Services or any component thereof
• Attempt to probe, test, or circumvent any security measures, rate limits, access controls, or authentication mechanisms
• Upload malicious content, malware, or attempt prompt injection, jailbreaking, or any technique designed to manipulate, extract, or override AI system behaviors
• Impersonate another person, entity, or AI system
• Use the platform for any illegal, fraudulent, deceptive, or harmful purpose
• Circumvent, disable, or interfere with usage limits, plan restrictions, or security features
• Scrape, crawl, index, or automatically extract data or content from the platform
• Use AI-generated outputs to create content that violates applicable laws (including but not limited to defamation, harassment, fraud, discrimination, or infringement of intellectual property rights)
• Sublicense, resell, or redistribute the Services or any output thereof as a standalone service without prior written consent
• Use the Services to build a competing product or service, or for competitive analysis or benchmarking purposes

Violation of these terms may result in immediate account suspension or termination without notice. We reserve the right to report violations to relevant law enforcement authorities.

6. AI-Generated Content and Outputs

IMPORTANT — PLEASE READ CAREFULLY:

• The Services employ advanced artificial intelligence and machine learning technologies that are probabilistic in nature and are continuously evolving. Outputs may not always be accurate, complete, or current, and may contain material inaccuracies even where they appear detailed or specific.
• YOU ACCEPT AND AGREE THAT ANY USE OF OUTPUTS FROM THE SERVICES IS AT YOUR SOLE RISK. YOU WILL NOT RELY ON ANY OUTPUT AS THE SOLE SOURCE OF TRUTH, FACTUAL INFORMATION, OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE INCLUDING BUT NOT LIMITED TO LEGAL, FINANCIAL, MEDICAL, TAX, ACCOUNTING, OR COMPLIANCE ADVICE.
• You are solely and exclusively responsible for reviewing, validating, and approving all AI-generated outputs before acting upon them, publishing them, sending them to third parties, or making any decision based on them.
• You are solely responsible for all content published to external platforms (Instagram, WordPress, WhatsApp, email, or any other channel) through the Services, regardless of whether such content was AI-generated.
• The Company makes no representation or warranty that AI-generated outputs are free from errors, biases, omissions, or inaccuracies, or that they are fit for any particular purpose.
• Approval gates and workflow controls are provided as tools to assist with human oversight. Their availability does not transfer any responsibility or liability to the Company for outputs that pass through such controls.

7. Intellectual Property and Proprietary Rights

• Our Platform: The Services, including all software, AI models, agent configurations, workflow templates, system architecture, algorithms, user interfaces, trade secrets, and all related intellectual property are and remain the exclusive property of Ark Solutions FZE. Nothing in these Terms transfers any ownership or license to you in the platform itself.
• Your Data: As between you and the Company, and to the extent permitted by applicable law, you retain your ownership rights in the inputs and data you submit to the Services.
• Outputs: As between you and the Company, and to the extent permitted by applicable law, we assign to you our right, title, and interest — if any — in outputs generated by the Services in response to your inputs. You acknowledge that AI-generated outputs may not be eligible for intellectual property protection in all jurisdictions, and the Company makes no representation regarding the copyrightability or patentability of any output.
• No Training: We do not use your organization's data to train our AI models. Your conversations and documents remain private to your organization.
• Feedback: Any feedback, suggestions, or ideas you provide regarding the Services may be used by us without restriction or compensation to improve the platform.

8. Third-Party Integrations

The Services integrate with third-party platforms and services. By connecting third-party accounts, you:

• Authorize Ark Vision to access and interact with those services on your behalf within the scope of the permissions you grant
• Acknowledge that third-party services are governed by their own terms and privacy policies, which are separate from and in addition to these Terms
• Accept sole responsibility for compliance with each connected platform's terms of service, acceptable use policies, and applicable regulations
• Acknowledge that the Company is not responsible for the availability, accuracy, or security of any third-party service, or for any loss or damage arising from your use of third-party integrations
• Acknowledge that the Company is not liable for any actions taken by third-party platforms (including but not limited to account suspension, content removal, or policy changes) that affect your use of the Services

9. Security, Monitoring, and Suspension

• We implement automated security monitoring, rate limiting, anomaly detection, and other protective measures across the Services
• Accounts exhibiting suspicious, abusive, or malicious activity may be automatically flagged, restricted, suspended, or terminated without prior notice
• We reserve the right to suspend or terminate accounts that violate these Terms, pose a security risk to the platform or other users, or for any other reason at our sole discretion, with or without prior notice depending on severity
• Upon termination, your right to access the Services ceases immediately. We may delete your data after a reasonable retention period (90 days) unless applicable law requires otherwise
• Suspended accounts may appeal by contacting support@arksolutionsglobal.com

10. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

THE SERVICES, ALL OUTPUTS, AND ALL MATERIALS PROVIDED THROUGH THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOUR USE OF THE SERVICES IS SOLELY AT YOUR OWN RISK.

WE AND OUR AFFILIATES, LICENSORS, AND SERVICE PROVIDERS EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AVAILABILITY, RELIABILITY, SECURITY, PRIVACY, COMPATIBILITY, SATISFACTORY QUALITY, QUIET ENJOYMENT, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, OR TRADE USAGE.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT (A) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) ANY OUTPUTS WILL BE ACCURATE, COMPLETE, RELIABLE, OR FIT FOR ANY PURPOSE; (C) ANY DEFECTS WILL BE CORRECTED; OR (D) THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS (COLLECTIVELY, THE "COMPANY PARTIES") BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, BUSINESS OPPORTUNITIES, REVENUE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN ANY WAY RELATED TO:

• YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICES
• ANY OUTPUT, CONTENT, OR MATERIAL GENERATED BY OR OBTAINED THROUGH THE SERVICES
• ANY ACTIONS TAKEN OR DECISIONS MADE BASED ON OUTPUTS FROM THE SERVICES
• ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS
• ANY THIRD-PARTY CONDUCT, CONTENT, OR SERVICES ACCESSED THROUGH THE PLATFORM
• ANY CONTENT PUBLISHED TO EXTERNAL PLATFORMS THROUGH THE SERVICES
• ANY INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SERVICES

THESE LIMITATIONS APPLY WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF THE COMPANY PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE COMPANY PARTIES' TOTAL AGGREGATE LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU ACTUALLY PAID TO US FOR ACCESS TO THE SERVICES IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100.00).

THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

12. Indemnification

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS THE COMPANY PARTIES FROM AND AGAINST ANY AND ALL CLAIMS, LIABILITIES, DAMAGES, LOSSES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES AND COURT COSTS) ARISING OUT OF OR RELATED TO:

• Your access to, use of, or alleged use of the Services
• Any outputs, content, or materials you generate, publish, distribute, or otherwise make available using the Services
• Any products, services, or applications you develop, offer, or make available using or in connection with the Services
• Your breach or alleged breach of these Terms
• Your violation of any applicable law, regulation, or third-party right (including intellectual property, privacy, or publicity rights)
• Any dispute between you and any third party arising from your use of the Services
• Any actual or alleged fraud, intentional misconduct, gross negligence, or criminal acts committed by you, your employees, contractors, or agents

This indemnification obligation shall survive termination of these Terms and your use of the Services.

13. Confidentiality

The internal workings of the Services — including but not limited to AI model selection, architecture, configurations, training methodologies, system prompts, agent rule structures, workflow execution logic, and proprietary algorithms — constitute confidential information and trade secrets of the Company. You agree not to:

• Attempt to discover, reverse-engineer, or reconstruct any underlying technology, models, or configurations
• Publicly disclose, publish, or share any information about the internal mechanics or architecture of the Services obtained through use, testing, or any other means
• Use the Services for the purpose of competitive intelligence or to build a substantially similar product or service

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Abu Dhabi, UAE.

Before initiating any formal legal proceedings, you agree to attempt to resolve the dispute informally by contacting us at legal@arksolutionsglobal.com. If the dispute is not resolved within thirty (30) days, either party may proceed with formal proceedings.

15. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy and any plan-specific terms, constitute the entire agreement between you and the Company regarding the Services.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
• Force Majeure: The Company shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, power failures, internet disruptions, or third-party service outages.
• No Agency: Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and the Company.

16. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email to registered users at least thirty (30) days in advance. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.
